Meetings

  1. The Jasper Adult Learning Council will hold an Annual General Meeting on or before April in each year, of which the members will be notified in writing or by phone 30 days prior to the meeting.
  2. Election of Board members will be held at the Annual General Meeting. The officers and directors so elected shall form a Board until their successors are elected and installed. Any vacancy occurring during the year shall be filled at the next General Meeting.

 

  1. If a Board position becomes vacant between elections, the Board may appoint a member to fill the vacant position until the next election.

4.2       The Board holds at least five (5) regular meetings per annum excluding July and August. Members will be notified by phone, fax or email 14 days prior to the meeting.

4.3       Special meetings will be called as needed. The Board of Directors will be notified by phone, fax or email at least one week prior to the meeting. The Chairperson or the Board as a whole may call a special meeting at any time.

4.4       51% of the Board members in good standing shall constitute a quorum at all meetings.

4.5       Voting Rights:  Any member who has not withdrawn from membership nor has been suspended or expelled shall have the right to vote at any meeting of the Jasper Adult Learning Council. Such votes must be made in person and not by proxy or otherwise.

4.6       The Chairperson does not have a second or casting vote in the case of a tie vote. If there is a tie vote, the motion is defeated.

4.7       Attendance to Council Meetings: Board members are required to attend regularly scheduled meetings. No regularly scheduled meetings will be held for the months of July and August. If three consecutive meetings are missed without due cause, the individual will be deemed to have resigned as a Director unless leave is requested.
